By registering for or using BinaxPay's business banking platform ("Services"), you agree to these Terms & Conditions ("Terms"). If you do not agree, you must not use the Services.
Services are available only to legally registered business entities represented by authorized individuals aged 18 or older with legal capacity to contract. Access may be approved, refused, suspended, or terminated at our discretion.
You must provide accurate and current corporate documentation, UBO/ownership details, director identification, and proof of address as requested. BinaxPay complies with EU AMLD, UK AML Regulations, and other applicable laws. We may request further information, delay transactions, or suspend accounts where required by law or risk policy.
Features may include multi-currency IBANs, SEPA/SWIFT payments, Visa and Mastercard cards, payroll tools, analytics dashboards, and AI-powered support integrated directly within the BinaxPay platform. Features are subject to approval, limitation, or change without prior notice.
Processing times depend on the payment rail, destination, and security checks. Applicable fees and FX rates are shown in your dashboard. We may hold, reject, or return payments to comply with sanctions, AML, or risk management obligations.
Physical and virtual cards are issued upon successful approval. Your company is responsible for all transactions, fees, and chargebacks. Lost or stolen cards must be reported immediately. Usage must comply with spending limits and permitted categories.
API keys are confidential and must be securely stored. You are responsible for implementing proper access controls and monitoring. We reserve the right to revoke access for misuse, breaches, or security concerns.
Protect all login credentials, MFA devices, and API keys. Transactions made with valid credentials are considered authorized. You must notify us immediately in case of compromise. BinaxPay is not liable for losses due to unauthorized access unless caused by our gross negligence.
The BinaxPay AI Agent is an internal feature of the BinaxPay platform. It assists users with banking-related tasks such as account navigation, transaction insights, and general support. It operates entirely within our secure environment and is not offered as a separate product or external service. Limited first-party cookies and local storage may be used to maintain conversation continuity and improve response accuracy. No personal or financial data is shared with third parties for AI processing.
You may not use BinaxPay for illegal activities including money laundering, sanctions evasion, terrorism financing, unlicensed gambling, adult services, sale of illegal goods, or fraudulent behavior. Violations may result in suspension, termination, and regulatory reporting.
Fees for accounts, payments, cards, and other services are available in your dashboard and may change with notice. Subscription plans renew automatically unless cancelled before the next billing date.
We process personal and business data in accordance with GDPR, UK GDPR, and applicable laws. Please review our Privacy Policy for details on collection, retention, and rights. You are responsible for informing and obtaining consent from staff or clients where required.
We aim for high uptime but do not guarantee uninterrupted service. Scheduled maintenance, system upgrades, or third-party disruptions may temporarily affect access to the platform or AI-assisted features.
Some services depend on regulated partners and payment networks such as Visa, Mastercard, SEPA, IBAN, and SWIFT rails. Their policies may also apply. We may share necessary data with these partners to deliver Services in compliance with law.
The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. The AI Agent operates as an automated support tool and does not replace human advice or regulatory obligations.
We are not liable for indirect, special, or consequential losses including loss of profits or data. Our total liability in any six-month period is limited to the total fees you paid during that period, except in cases of fraud, willful misconduct, or liability that cannot be excluded by law.
We may suspend or terminate your account for breach of these Terms, compliance risk, or legal requirements. Any remaining funds will be settled after regulatory checks and deduction of applicable fees.
We may modify these Terms at any time. Updated versions will be published on our website or in your dashboard. Continued use after updates constitutes acceptance of the new Terms.
These Terms are governed by and interpreted under the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England, except where otherwise required by mandatory law.
All software, AI logic, text, logos, and designs are owned by BinaxPay or its licensors. You may not copy, alter, or reverse-engineer any part of the Services except where expressly permitted by law.
